In accordance with the Securities Market Act
and, in particular, its development in Royal Decree 629/1993,
of 3 May, on Rules for Operating on Stock Markets and Compulsory
Records and other complementary provisions, Ebro Foods
approved on 20 March 2000, the corresponding Rules of Conduct
on Stock Markets.
On 21 May 2003, the Board approved a new set of Regulations
for Conduct on Stock Markets to adapt these Rules to the reform
in the Spanish stock market legislation made by virtue of the
Financial System (Reform Measures) Act 44/2002 of 22 November,
guaranteeing compliance with the rules laid down for operating
on those markets.
The rules set out in the new Regulations correspond to the regime
of protection of the integrity of stock markets, aiming primarily
to guarantee free price formation on those markets, thereby
protecting investors’ interests and boosting confidence
in the stock markets.
Following the recommendations made by the National Securities
Market Commission (CNMV) in a letter dated 24 May 2004, the
Board modified its Market Conduct Regulations on 23 June 2004,
approving a new text entitled “Internal Code of Market
Conduct”.
