· Structure of the Share Capital
EBRO PULEVA, S.A. currently has a capital of 92,319,235.20 euro,
fully subscribed and paid up.
Since the merger between AZUCARERA EBRO AGRÍCOLAS, S.A.
and PULEVA, S.A., which gave rise to the present company, EBRO
PULEVA has made two capital increases, by virtue of resolutions
adopted at the General Meetings of Shareholders on 26 June 2001
and 11 June 2002, through 1x5 and 1x4 scrip issues, respectively.
The capital is now divided into 153,865,392 shares with a par
value of sixty euro cents each all, in the same class, with
the same voting and economic rights.
The shares are issued in book-entry form and recorded in the
Central Register kept by Sociedad de Compensación y Liquidación
de Valores, S.A. (SCLV) [Securities Clearing and Settlement
Service], listed on all four stock exchanges in Spain.
According to the information obtained at the Annual General Meeting of Shareholders of Ebro Puleva, S.A., held on 29th April 2009 and attended, in person or by Proxy, by total of 2,938 shareholders accounting for 74.79% of the capital, the structure of the capital of EBRO PULEVA S.A is as follows:
